1.1 Definitions
In these Terms and Conditions:
2.1 Duration
This Agreement shall commence on the date the Client accepts these terms and conditions and shall continue until terminated in accordance with terms and conditions or mutual discussions.
2.2 Amendments
Gandhi Technoweb Solutions reserves the right to amend these terms and conditions at any time. Amendments will be effective upon posting on Gandhi Technoweb Solutions's website. Continued use of the Services after such amendments constitutes acceptance of the new terms.
3.1 Initial Consultation
Upon acceptance of the Agreement, Gandhi Technoweb Solutions will schedule an initial consultation with the Client to discuss project requirements, objectives, timelines, and other relevant details.
3.2 Documentation
The Client must provide all necessary documentation, including but not limited to project briefs, branding guidelines, and any other relevant information required to commence the services.
3.3 Project Plan
Gandhi Technoweb Solutions will develop a project plan outlining key milestones, deliverables, and timelines. This plan will be shared with the Client for approval before work commences.
4.1 Provision of Services
Gandhi Technoweb Solutions shall use reasonable skill and care in providing the Services in accordance with the project plan and any specifications agreed upon with the Client.
4.2 Communication
We will maintain regular communication with the Client to provide updates on project progress and address any issues that may arise.
4.3 Quality Assurance
We will implement quality assurance measures to ensure the services meet the agreed-upon standards and specifications.
5.1 Cooperation
The Client shall provide timely feedback, approvals, and any other information required by Gandhi Technoweb Solutions to deliver the Services.
5.2 Compliance
The Client must ensure that all content and materials provided to Gandhi Technoweb Solutions comply with applicable laws and do not infringe on any third-party rights.
5.3 Payment
The Client agrees to pay the Charges in accordance with Section 6 of this Agreement.
6.1 Fees
The Charges for the Services will be specified in the project plan or as agreed upon separately in writing.
6.2 Invoicing
Gandhi Technoweb Solutions will invoice the Client according to the payment schedule outlined in the project plan. Invoices are payable within 30 days of receipt unless otherwise agreed.
6.3 Late Payments
If the Client fails to make any payment on time, Gandhi Technoweb Solutions reserves the right to suspend the Services until payment is received. Late payments may incur interest at a rate of 1.5% per month.
7.1 Testing Period
Upon completion of the Services, the Client will have a specified period (as outlined in the project plan) to test and review the deliverables to ensure they meet the agreed-upon specifications.
7.2 Acceptance Criteria
If the deliverables meet the acceptance criteria set forth in the project plan, the Client shall promptly provide written confirmation of acceptance. If the deliverables do not meet the criteria, the Client shall provide a detailed list of issues to be addressed.
7.3 Revisions
Gandhi Technoweb Solutions will address any issues identified during the acceptance testing period and resubmit the deliverables for Client approval.
8.1 Extent of Liability
Gandhi Technoweb Solutions's liability under or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount paid by the Client for the Services.
8.2 Exclusions
Gandhi Technoweb Solutions shall not be liable for any indirect, special, or consequential loss or damage arising out of or in connection with the Services, including loss of profits, business, revenue, or data.
8.3 Force Majeure
Gandhi Technoweb Solutions shall not be liable for any failure or delay in performing its obligations under this Agreement due to any cause beyond its reasonable control, including but not limited to natural disasters, war, terrorism, and labor disputes.
9.1 Termination by Either Party
Either party may terminate this Agreement upon written notice if the other party breaches any material term of the Agreement and fails to remedy the breach within 30 days of receiving notice of the breach.
9.2 Termination by Gandhi Technoweb Solutions
Gandhi Technoweb Solutions may terminate this Agreement immediately if the Client fails to make any payment when due or becomes insolvent.
9.3 Effects of Termination
Upon termination of this Agreement, the Client shall pay for all Services rendered up to the date of termination. All provisions of this Agreement which by their nature should survive termination shall survive, including confidentiality, limitations of liability, and indemnity provisions.
10.1 Confidential Information
Each party agrees to keep confidential all information disclosed by the other party that is marked as confidential or that reasonably should be understood to be confidential, including but not limited to business plans, technical information, and financial data.
10.2 Use of Confidential Information
Confidential information shall be used solely for the purposes of performing the Services and fulfilling obligations under this Agreement.
10.3 Disclosure
Neither party shall disclose any confidential information to any third party without the prior written consent of the other party, except as required by law or as necessary to perform the Services.
11.1 Data Protection
Gandhi Technoweb Solutions will process personal data in accordance with applicable data protection laws. The Client consents to the processing of their personal data for the purposes of providing the Services.
11.2 Data Security
Gandhi Technoweb Solutions shall implement appropriate technical and organizational measures to protect personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage.
11.3 Client's Responsibilities
The Client is responsible for ensuring that any personal data they provide to Gandhi Technoweb Solutions is accurate, complete, and up-to-date.
12.1 Ownership and Rights
The Client warrants that they own all rights, title, and interest in and to the Materials provided to Gandhi Technoweb Solutions or have obtained all necessary licenses and permissions to use such Materials.
12.2 Compliance
The Client warrants that the Materials do not infringe any intellectual property rights, contain defamatory or obscene content, or violate any applicable laws.
12.3 Indemnity
The Client agrees to indemnify and hold harmless Gandhi Technoweb Solutions from any claims, damages, or expenses arising out of or in connection with the Materials supplied by the Client.
13.1 Service Warranty
Gandhi Technoweb Solutions warrants that the Services will be performed with reasonable skill and care in accordance with the project plan and any agreed-upon specifications.
13.2 Disclaimer of Warranties
Except as expressly set forth in this Agreement, Gandhi Technoweb Solutions disclaims all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13.3 No Guarantee
Gandhi Technoweb Solutions does not guarantee that the Services will result in any specific outcomes, including increased traffic, rankings, or sales.
